Terms of Use
Please read the following carefully.
These Terms of Use, together with the other documents referenced below (collectively, the “Agreement”), describe your rights and responsibilities when using the website at www.gigawattcorp.com and any other websites owned and operated by Gigawatt (collectively, the “Website”). The Website is operated by Gigawatt Heat Pump Supply Corp. and Gigawatt Heat Pump Supply US Corp., together with their related parties (collectively, “Gigawatt”). In this Agreement, “we,” “our” and “us” refer to Gigawatt, and “you” and “your” refer to any visitor or user of the Website.
By using the Website, you accept this Agreement and all related policies, including our Privacy Policy, which is incorporated by reference. If you do not agree with some or all of these terms, do not use the Website.
If you use the Website on behalf of a company, partnership, trust, joint venture or other organization (“Company”), you represent and warrant that you are authorized to accept these terms on behalf of that Company and to bind it.
1. Use and Accuracy of Information
The Website is provided for general information only. Although Gigawatt uses commercially reasonable efforts to keep the information on the Website accurate, errors and inaccuracies may occur. Gigawatt does not warrant or make any representation regarding the accuracy or completeness of any information on the Website, and may change or update it at any time without notice. We make no representation that the Website will function with your device or equipment.
2. Product Information, Quotes and Orders
(a) Product descriptions, specifications, images, performance figures and other technical information on the Website are provided for general reference only. They may change without notice and should be confirmed with Gigawatt and the manufacturer before you rely on them for design, engineering, purchasing or installation decisions.
(b) Submitting a quote request, filter order form or other inquiry through the Website is a request for information or pricing only. It is not an offer to purchase and does not create a binding order or contract. Pricing, availability, shipping and payment terms are confirmed separately by Gigawatt in writing, and any sale is governed by the quote, invoice or agreement Gigawatt issues for it.
(c) Products sold by Gigawatt are covered only by the warranties provided by their manufacturers or set out in the applicable sales documents. Nothing on the Website creates any additional warranty.
(d) Products should be installed, serviced and maintained by qualified professionals in accordance with the manufacturer’s instructions and all applicable codes and regulations.
3. Privacy Policy and Other Terms
Your use of the Website is also governed by the Gigawatt Privacy Policy, as amended from time to time, which you have read and to which you agree. You consent to the collection, use and disclosure of your personal information in accordance with the Privacy Policy. Your use of the Website may also be subject to other policies and procedures we communicate to you from time to time.
4. Ownership
(a) All content on or made available through the Website, including text, images, photographs, illustrations, graphics, video, designs, software, code, data, logos, trademarks, trade names, domain names, the Website’s look and feel, and the selection and arrangement of that content (collectively, “Material”), is the property of Gigawatt or its licensors, together with all related intellectual property rights.
(b) The Material is protected under copyright, trademark and other laws of Canada, the United States and other countries.
(c) All company names, brand names, product names, trademarks and logos shown on the Website, including Innova, BONDI BAS, Sunamp, FlowMix and Guard Dog Valves, are the property of their respective owners. Gigawatt is a distributor of products from these and other manufacturers. Nothing on the Website grants any license or right to use any trademark or other intellectual property without the written permission of its owner.
(d) We may provide you with information, documents or resources, whether verbally, electronically or in writing (collectively, “Documentation”), that are owned by or licensed to us. You may use Documentation to evaluate, purchase, install and operate products supplied by Gigawatt. You may not otherwise copy, sell, license, publish, modify, distribute, reverse engineer, prepare derivative works from or make available any Documentation, in whole or in part, for any public or commercial purpose without our prior written consent, except to the limited extent applicable law prohibits these restrictions.
5. Permitted Use of the Website; Prohibitions
(a) You may download, print and store portions of the Material for your own internal business use, provided that you do not modify the Material, redistribute it publicly, or remove any copyright, trademark or other proprietary notice.
(b) You must use the Website in a professional and lawful manner. You must not submit or transmit to Gigawatt or through the Website anything that: (i) defames or invades the privacy of any person; (ii) is obscene, abusive or threatening; (iii) infringes the intellectual property or other rights of any person; (iv) contains viruses or other harmful code; (v) violates any law; (vi) advocates illegal activity; or (vii) advertises or solicits funds for goods or services.
(c) You are not required to provide us with questions, suggestions or ideas about the Website or our products (“Suggestions”). If you do, you grant us a non-exclusive, worldwide, royalty-free, irrevocable license to use your Suggestions for any purpose.
(d) You may not frame the Website, or co-brand it by displaying any name, logo or trademark in a way that is reasonably likely to suggest a relationship with Gigawatt that does not exist, without our prior written permission. You may link to the Website, provided the link is not misleading and does not suggest that Gigawatt endorses you or your content.
(e) You must not use the Website to:
- transmit any content you do not have the right to transmit, or that infringes any third party’s rights;
- send unsolicited advertising, spam or any other form of solicitation;
- impersonate any person or entity, or misrepresent your identity or affiliation;

- interfere with or disrupt the Website, its servers or connected networks, including through denial of service attacks or flooding;
- use automated tools, including bots, scrapers or crawlers, in a way that places an unreasonable load on the Website or ignores any limits published in the Website’s robots file;
- modify, copy, sell, reverse engineer or decompile any portion of the Website;
- collect or use the personal information of others without their consent; or
- transmit any information you know to be false or misleading.
(f) Gigawatt may, at any time and without notice, suspend, limit or terminate access to all or part of the Website for any reason, without liability to you.
6. Third Party Content
The Website may contain information or materials owned or provided by others, including product information supplied by manufacturers (“Third Party Content”). We make no representations or warranties about Third Party Content and do not independently verify it. Its inclusion does not mean we endorse it, unless we say so expressly. The owners of Third Party Content retain all rights in it, and you may not copy or distribute it for any public or commercial purpose without their consent.
7. Links
The Website may contain links to websites owned and operated by third parties, including manufacturers and social media platforms. These links are provided for convenience only and do not imply our endorsement. We have no control over these websites, and your use of them is at your own risk. They may have their own privacy policies, and we are not responsible for their content or privacy practices.
8. User Content and Form Submissions
(a) When you submit information through the Website, including through contact, quote request or order forms (“User Content”), you confirm that you have the right to provide it and that it is accurate.
(b) If your User Content includes the personal information of another person, you confirm that you have obtained that person’s consent in accordance with applicable privacy laws.
9. Errors and Inaccuracies; Disclaimer of Warranties
(a) The Website, Material and Documentation are provided for your convenience and for information only. We do not guarantee any specific result, financial, commercial or otherwise, from their use. Any reliance on them is at your own risk.
(b) We do not warrant that the Website, or any file or email from us, is free of viruses or other harmful code. You are responsible for any damage to your systems or loss of data resulting from your use of the internet or the Website.
(c) The Website may contain typographical errors or inaccuracies and may not be complete or current. We may correct errors or update information at any time without notice.
(d) THE WEBSITE, MATERIAL AND DOCUMENTATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT REPRESENTATIONS, WARRANTIES, GUARANTEES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIGAWATT AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND SUPPLIERS DISCLAIM ALL SUCH REPRESENTATIONS, WARRANTIES, GUARANTEES AND CONDITIONS, INCLUDING ANY WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT ITS CONTENT IS ACCURATE, COMPLETE OR CURRENT, OR THAT ANY DEFECTS WILL BE CORRECTED. THIS SECTION DOES NOT AFFECT ANY WARRANTY THAT APPLIES TO PRODUCTS PURCHASED FROM GIGAWATT UNDER SECTION 2(c).
10. Limitation of Liability
YOUR USE OF THE WEBSITE IS AT YOUR OWN RISK. UNDER NO CIRCUMSTANCES WILL GIGAWATT OR ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS OR SUPPLIERS (“ASSOCIATED PERSONS”) BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, INCOME, PROFITS, OPPORTUNITIES OR GOODWILL, ARISING FROM OR RELATED TO: (I) YOUR ACCESS TO OR USE OF, OR INABILITY TO USE, THE WEBSITE, MATERIAL OR DOCUMENTATION; (II) YOUR RELIANCE ON ANY INFORMATION ON THE WEBSITE; (III) ANY ERROR, OMISSION, INTERRUPTION, DELAY OR VIRUS; (IV) ANY THIRD PARTY CONTENT OR LINKED WEBSITE; OR (V) ANY OTHER MATTER RELATING TO THE WEBSITE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IF THOSE LAWS APPLY TO YOU, SOME OF THE ABOVE MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.
IN NO EVENT WILL GIGAWATT’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED 5,000 CANADIAN DOLLARS. IF YOU ARE DISSATISFIED WITH THE WEBSITE OR THIS AGREEMENT, YOUR SOLE REMEDY IS TO STOP USING THE WEBSITE.
11. Indemnification
You agree to defend, indemnify and hold harmless Gigawatt and the Associated Persons, and their successors and assigns (the “Indemnified Parties”), from any claim, demand, loss, cost or liability, including reasonable legal fees, arising from your use or misuse of the Website, Material or Documentation, your breach of this Agreement, or your failure to obtain any required consent from a third party. This obligation survives the end of this Agreement and your use of the Website.
12. System Security
You must not use the Website to compromise its security or tamper with its systems, including through password guessing, cracking or network probing tools. We may investigate suspected violations of this Agreement and cooperate with law enforcement authorities or court orders, including by disclosing the identity of anyone believed to be violating it.
13. Governing Law and Jurisdiction
This Agreement and your use of the Website are governed exclusively by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Although the Website is accessible from many jurisdictions, it is deemed to be based solely in Ontario, Canada, and passive in nature, and does not give rise to personal jurisdiction over Gigawatt anywhere else. You submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, for all disputes arising from this Agreement or your use of the Website. Nothing in this Agreement prevents Gigawatt from seeking injunctive or other urgent relief in any jurisdiction.
14. Termination
This Agreement remains in effect for as long as you use the Website. We may suspend or end your use of the Website at any time, with or without cause, if we believe you are violating this Agreement.
15. Assignment
You may not assign or transfer your rights or obligations under this Agreement without our prior written consent. Gigawatt may assign this Agreement without your consent.
16. Third Party Beneficiary
This Agreement is for the sole benefit of you, Gigawatt and the Associated Persons. Nothing in it gives any other person any right or remedy.
17. Headings
Headings are for convenience only and do not affect the interpretation of this Agreement.
18. Language
English is the language of the Website and of all transactions related to our products and services. You acknowledge that it is your express wish that this Agreement be drawn up in English. C’est la volonté expresse des parties que la présente convention ainsi que tous les documents légaux qui s’y rattachent soient rédigés en anglais.
19. Severability; Waiver
If any provision of this Agreement is found unenforceable or invalid, it will be enforced to the fullest extent permitted by law, and the remaining provisions will stay in effect. No waiver of any breach is a waiver of any other breach, and no waiver is effective unless it is in writing.
20. Survival
Sections 2, 4, 5, 6 and 9 through 21 survive the end of this Agreement, however it ends.
21. Entire Agreement
This Agreement, together with the documents referenced in it, is the entire agreement between you and Gigawatt regarding your use of the Website, and replaces any prior understandings on that subject. If this Agreement conflicts with any document it references, this Agreement governs to the extent of the conflict. This Agreement does not replace any quote, invoice or sales agreement for products purchased from Gigawatt.
22. Changes to this Agreement
We may change this Agreement at any time by posting the updated version on the Website. Changes take effect when posted, and your continued use of the Website means you accept them. If you do not agree to any change, stop using the Website.
